Software As A Service (SAAS) Agreement

Provider: Mastery Training Services, Novi, MI

Service Description:

Mastery Training Services (“Mastery”) provides access to digital training content and related services via mastery.com. This includes, but is not limited to:

  • Single Plays: Access to individual course titles for 60 days per purchase.
  • Enterprise Subscriptions: Annual access to a curated library of training content for authorized users under a corporate license.
  • Training Bundles: Thematic or role-based collections of courses available for purchase or subscription.
  • Certificates of Completion: Accessible for the life of the account, unless otherwise specified.
  • Custom Onboarding & Support Services: Available to enterprise clients as outlined in their service package.

Mastery reserves the right to update, modify, or remove content at its discretion.

License:

Mastery grants a non-exclusive, non-transferable license to access and use the services for the term specified:

  • Single Plays: 60-day access for one individual.
  • Enterprise Accounts: One-year license for authorized users under the organization’s account. Use is limited to training, compliance, and professional development purposes as outlined in this Agreement.

Payment:

  • Single Plays: Payment due at time of purchase.
  • Enterprise Services: Payment terms as outlined in the client’s service agreement or invoice. All fees are non-refundable unless otherwise stated.
  • Refunds: All fees are non-refundable unless otherwise stated.
  • Late Payments: Mastery reserves the right to suspend or terminate access for accounts with overdue balances.

Support:

Customer support is available Monday through Friday, 8:30 AM – 5:00 PM Eastern Time. Enterprise clients may receive extended support hours or dedicated account management as specified in their agreement.

Data Security:

Mastery employs commercially reasonable measures to protect user data. However, Mastery is not liable for any breach beyond customary duties. Enterprise clients may request additional data handling protocols subject to agreement.

  • Privacy Policy: Use of services is also subject to Mastery’s Privacy Policy, available at mastery.com/privacy..
  • Data Retention: Mastery may retain user data for compliance and operational purposes, subject to applicable law.

Intellectual Property:

All course content remains the property of the original producer or licensor. Mastery retains rights to its platform, branding, and proprietary features. Clients may not reproduce, distribute, or modify content without written permission.

Feedback: Any feedback provided by clients may be used by Mastery to improve services without obligation or compensation.

Acceptable Use:

Clients agree not to:

  • Use the service for unlawful purposes.
  • Share login credentials outside of authorized users.
  • Attempt to reverse-engineer, copy, or exploit the platform.
  • Upload or transmit harmful code, malware, or unauthorized data.

Termination:

  • Mastery may suspend or terminate accounts for violation of this Agreement or non-payment.
  • Clients may terminate enterprise agreements with written notice 30-days prior to renewal, subject to the terms of their contract.
  • Upon termination, client access to services and data will cease, except as required by law.

No Warranties:

Mastery and any suppliers of content materials make no warranties or representations of any kind, whether expressed or implied. Mastery and any suppliers of content materials also disclaim any warranty of merchantability or fitness for any particular purpose and will not be responsible for any damages.

Limitation of Liability:

Client agrees to indemnify and hold Mastery harmless from all claims, damages, or losses. Mastery’s liability is limited to the pro-rata monthly charge during any verified service downtime. In no event shall Mastery be liable for indirect, incidental, or consequential damages.

Governing Law:

This Agreement shall be governed by and construed in accordance with the laws of the State of Michigan.

Force Majeure:

Mastery shall not be liable for delays or failures caused by events beyond its reasonable control, including natural disasters, labor disputes, internet outages, or government actions.

Amendments:

Any changes to this Agreement must be made in writing and signed by both parties.

Acceptance:

Use of mastery.com constitutes acceptance of these terms. Both parties warrant they are authorized to enter into this Agreement.
